Terms of Service

These Terms of Service ("Terms") govern your access to and use of GulaSync POS, provided by Rock Kins Group Ltd ("we", "us", or "Company"), a company incorporated in Malawi.

By creating an account, downloading the software, or otherwise using GulaSync, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. The Service

GulaSync POS is a point-of-sale software application for Windows that helps retail businesses manage sales, inventory, MRA compliance, and reporting. The service includes the desktop application, the web dashboard, and any related APIs or supporting tools provided by Rock Kins Group Ltd.

2. Accounts

To use GulaSync, you must register for an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate and complete information when registering and keep your account information up to date. You may not share your account with others or register on behalf of another person without their explicit consent.

3. Free Trial

New accounts receive a 14-day free trial on the Business plan. No payment information is required to start a trial. At the end of the trial period, you may choose to subscribe to a paid plan or your account will revert to a limited free tier.

4. Subscriptions and Billing

GulaSync is offered on a subscription basis. Subscription fees are billed in advance on a monthly or annual cycle, depending on the plan you select. All fees are stated in Malawian Kwacha (MWK) and are exclusive of applicable taxes.

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing cycle.

We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the service after the effective date of a price change constitutes your acceptance of the new pricing.

5. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for the remaining period of a cancelled subscription unless required by applicable law.

Upon cancellation, your access to the paid features will continue until the end of the billing period. After that, your account data will be retained for 90 days before being permanently deleted.

6. Acceptable Use

You agree not to:

• Use GulaSync for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the service or its related systems
• Reverse engineer, decompile, or attempt to extract the source code of the software
• Resell or sublicense access to GulaSync without our prior written consent
• Use the service to process transactions for businesses other than those registered under your account
• Introduce malicious code, scripts, or other harmful content into the service

7. Your Data

You retain ownership of all business data you input into GulaSync (products, transactions, customer records, etc.). You grant us a limited, non-exclusive licence to store, process, and display that data solely to provide the service to you.

You are responsible for ensuring the accuracy of the data you enter, including MRA TPIN numbers, VAT codes, and product information. We are not liable for compliance failures arising from inaccurate data provided by you.

8. Intellectual Property

All intellectual property rights in the GulaSync software, including the application, documentation, and website, are owned by Rock Kins Group Ltd or our licensors. These Terms do not grant you any rights to our intellectual property other than the limited right to use the service as described herein.

9. Availability and Support

We aim to maintain 99.9% uptime for our cloud services. Planned maintenance will be announced with reasonable advance notice where possible. We do not guarantee uninterrupted availability of the service.

Support is available via email at hello@rockkins.com. Response times vary by plan and are not guaranteed except where stated in a separate service-level agreement.

10. Disclaimers and Limitation of Liability

GulaSync is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We are not responsible for any tax penalties, fines, or compliance failures arising from the use of GulaSync. It is your responsibility to ensure that your MRA credentials and VAT codes are correctly configured and up to date.

To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the Republic of Malawi. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Malawi.

12. Changes to These Terms

We may update these Terms at any time. Material changes will be notified to registered users by email at least 14 days before taking effect. Continued use of GulaSync after the effective date constitutes acceptance of the revised Terms.
